1. Acceptance of Terms

By using the KY Automation website (kyautomation.com, the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Site.

The Site is intended for business users only — procurement officers, engineers, maintenance personnel, and other commercial representatives acting in their professional capacity. The Site is not intended for individual consumers.

We may revise these Terms from time to time. The updated version is identified by the "Last Updated" date and takes effect upon publication. Material changes will be announced via a notice on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Nature of the Platform

KY Automation is a sourcing platform. We do not manufacture, hold inventory, sell, ship, test, or warrant any of the products displayed on this Site. We do not collect payments from buyers or disburse funds to suppliers. We are not a party to any transaction between a buyer and a supplier.

The platform's role is: to receive your sourcing request, distribute it to our network of vetted suppliers, and enable suppliers to provide you with quotes. You review the quotes and decide whether to transact with any supplier. The platform does not participate in quote negotiation, order fulfilment, or the movement of funds.

3. User Obligations

By using the Site, you agree to:

• Provide true, accurate, and complete information in your sourcing requests and contact details.
• After accepting a quote, forward the order confirmation email to the platform to register your order. This creates a record the platform can reference if an after‑sales dispute arises.
• Not interfere with the proper functioning of the Site — including through scraping, bots, automated account creation, or uploading malicious code.
• Not use the Site to send spam, commit fraud, or engage in any illegal activity.
• Not reproduce, scrape, or bulk‑export data from the Site for commercial use without the platform's prior written consent.

4. Transactions Between Buyers and Suppliers

The Site facilitates introductions between buyers and independent third‑party suppliers. The platform is not a party to any transaction, does not act as an agent for either buyers or suppliers, and does not form any partnership, joint venture, or employment relationship with either party.

Buyers acknowledge and agree that:

• Quotes — including pricing, product descriptions, availability, and delivery timelines — are provided by suppliers independently and are the sole responsibility of the supplier who issues them. The platform does not guarantee the accuracy, completeness, or feasibility of any quote.
• Buyers should conduct their own due diligence on a supplier before accepting a quote. Any dispute between buyer and supplier — including but not limited to product quality, delivery delays, or payment issues — should be resolved directly between the two parties.
• Order registration with the platform is a precondition for receiving the platform's after‑sales coordination support. For unregistered orders, the platform cannot verify that the transaction originated through the platform and assumes no coordination obligation.

Supplier obligations are governed by separate supplier terms.

5. Disclaimers

The Site and all its content are provided on an "as‑is" basis. To the fullest extent permitted by applicable law, KY Automation makes no representations or warranties of any kind, express or implied, including but not limited to:

• Warranties that the Site will be error‑free, uninterrupted, or always available.
• Warranties regarding the accuracy, completeness, or timeliness of product descriptions, specifications, images, or availability information.
• Implied warranties of merchantability, fitness for a particular purpose, or non‑infringement of third‑party intellectual property rights.
• Warranties regarding supplier qualifications, reputation, or ability to perform.
• Warranties that any transaction will be completed satisfactorily or meet the buyer's expectations.

KY Automation is not an authorised distributor or representative of any brand mentioned on this Site. All trademarks, brand names, and logos are the property of their respective owners. Brand names are referenced solely to identify products and do not imply any affiliation or endorsement.

6. Intellectual Property

All content on this Site — including text, graphics, logos, images, software, page layout, and design elements — is the property of KY Automation or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without the platform's prior written consent.

Users retain ownership of the information they submit through the Site (sourcing requests, communications). By submitting, you grant the platform a non‑exclusive licence to use, store, and process that information for the purpose of providing the platform's services.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• KY Automation shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site, your reliance on any information on the Site, or any transaction with a supplier — including but not limited to loss of profits, production downtime, business interruption, loss of goodwill, or data loss.
• KY Automation shall not be liable for any act or omission of any supplier, including but not limited to a supplier's failure to honour the terms of a quote, products that do not match the description or are defective, late delivery, or non‑delivery.
• KY Automation's total aggregate liability, whether in contract, tort (including negligence), or under any other legal theory, is capped at the total fees (if any) you have paid to the platform. If you have paid no fees to the platform, the platform bears no monetary liability.

8. Force Majeure

Neither party shall be liable for failure or delay in performing its obligations under these Terms if such failure or delay results from a force majeure event, including natural disasters, war, acts of terrorism, epidemics, governmental orders or regulatory changes, cyber‑attacks, third‑party service outages, transport disruptions, and other events beyond the affected party's reasonable control. The affected party must notify the other promptly and take reasonable steps to mitigate the impact.

9. Third‑Party Links

The Site may contain links to third‑party websites or services — supplier sites, social media, Trustpilot, and others. These links are provided for convenience only. The platform assumes no responsibility for the content, privacy practices, or business conduct of third‑party sites. You access third‑party links at your own risk.

10. Breach and Termination

The platform may, at its sole discretion, suspend or terminate your access to the Site for any breach of these Terms, without prior notice. Upon termination, provisions of these Terms that by their nature should survive — including disclaimers, limitation of liability, intellectual property, and dispute resolution — shall continue in effect.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict‑of‑law principles.

Any dispute arising from these Terms or your use of the Site shall first be resolved through good‑faith negotiation. If negotiation fails, either party may submit the dispute to a court of competent jurisdiction.

12. General Provisions

Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

No Waiver. The platform's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Warranty Policy, constitute the entire agreement between you and the platform regarding your use of the Site and supersede all prior oral or written communications.

Assignment. The platform may assign its rights and obligations under these Terms without your consent. You may not assign your rights or obligations without the platform's prior written consent.
